Partner Program Promotion – Terms
Parties
Provider: Precision Pixel Promotions (“PPP”), a Wisconsin company.
Participant: Any business enrolling in the Zero Burden Partner Program (“Partner Program”).
Offer Summary
Duration: Three (3) months from campaign launch date (“Trial Period”).
Upfront costs: $0 (Zero Down).
Services: Digital advertising, analytics, and related creative or technical support described in each signed work order (“Campaign SOW”).
Compensation Trigger: Participant owes payment only if PPP achieves the mutually agreed performance target (“Baseline Rate”) stated in the Campaign SOW.
Payment Terms
If Baseline Rate is achieved, Participant shall pay:
The standard campaign rate listed in the Campaign SOW; and
A bonus equal to 10 percent (10%) of net profit realized by Participant above the Baseline Rate during the Trial Period.
“Net Profit” = gross revenue directly attributable to the campaign minus documented advertising spend and third-party platform fees.
Payment due within 15 days of verified results report. Late payments may accrue 1.5 percent per month.
All invoices and reports will be denominated in USD and payable to PPP in Wisconsin.
Verification of Performance
PPP will provide transparent analytics via mutually agreed tracking tools.
Participant may audit reported results within ten (10) business days of delivery. Absent written objection, results are deemed accepted.
Early Termination
Either party may terminate with thirty (30) days’ written notice.
If termination occurs after measurable campaign activity, PPP may invoice a prorated portion of ad spend and direct costs incurred prior to notice.
Intellectual Property
All creative materials remain PPP’s property until full payment; upon payment, Participant receives a non-exclusive perpetual license for campaign assets.
Limitation of Liability
Except for willful misconduct or gross negligence, PPP’s liability is limited to the total amount paid by Participant under this Agreement.
Independent Contractor Status
PPP is an independent contractor. Nothing creates a partnership, joint venture, or employment relationship.
Confidentiality & Data
Both parties will keep campaign data and trade information confidential and comply with applicable privacy laws, including Wisconsin Statutes §134.90 and any federal regulations (HIPAA, where applicable).
Governing Law & Venue
This Agreement shall be governed by the laws of the State of Wisconsin. Any dispute shall be brought in the state or federal courts located in Milwaukee County, Wisconsin.
Entire Agreement
These Terms plus the signed Campaign SOW constitute the entire agreement. Any modifications must be in writing and signed by both parties.
