Terms of Service

Acceptance of Terms

By engaging Sovereign Systemica LLC (“Sovereign Systemica,” “SS,” “we,” “us,” or “our”), submitting a qualification request, entering into a service agreement, or engaging any operating company, program, or system governed by Sovereign Systemica, you (“Client” or “Partner”) acknowledge that you have read, understood, and agree to be bound by these Terms of Service.

If you do not agree to these Terms, do not proceed with any engagement governed by Sovereign Systemica.

Role of Sovereign Systemica (Important)

Sovereign Systemica is a holding, governance, and coordination entity.

Sovereign Systemica:

• Owns or controls affiliated operating companies (“OpCos”)
• Defines system-wide standards, scope boundaries, and alignment rules
• Provides administrative, contractual, and governance oversight

Sovereign Systemica does not itself provide operational services unless explicitly stated in a written agreement.

All execution-level services are performed by the applicable OpCo under its own service agreement.

Scope of Governance & Oversight

Sovereign Systemica’s scope is limited to:

• Defining engagement standards and eligibility requirements
• Establishing reporting, compliance, and alignment frameworks
• Coordinating contracts, billing structures, and system rules
• Enforcing scope boundaries between Clients and OpCos

Sovereign Systemica does not provide:

• Advertising services
• Marketing execution
• Business consulting or coaching
• Operational management of Client businesses
• Revenue or performance guarantees

Execution creates opportunity, not outcomes. Outcomes depend on factors beyond system control.

Operating Companies & Service Attribution

Services may be delivered by one or more Sovereign Systemica–owned or affiliated operating companies, including but not limited to:

• Precision Pixel Promotions (advertising services)
• Other OpCos as disclosed in writing

Each OpCo:

• Operates under its own service scope
• Maintains its own service agreement
• Is responsible only for the services it directly performs

No OpCo assumes liability for services performed by another OpCo.

Qualification & Eligibility

Engagements governed by Sovereign Systemica are offered only to Clients who meet defined qualification criteria, which may include:

• Minimum financial or operational thresholds
• Capacity to operate within defined scope boundaries
• Willingness to comply with reporting and compliance standards

Sovereign Systemica reserves the right to decline, suspend, or terminate eligibility at any time if criteria are not met or alignment is lost.

Fees & Payment Structure

Sovereign Systemica may:

• Collect fees on behalf of OpCos
• Coordinate billing and payment routing
• Define system-wide fee structures

Specific fees, rates, and payment terms are governed by the applicable OpCo service agreement.

Sovereign Systemica does not impose undisclosed fees.

Performance & No Guarantees

Neither Sovereign Systemica nor any affiliated OpCo guarantees:

• Revenue outcomes
• Business growth
• Specific performance metrics
• Return on investment

Any performance protections or incentives apply only if explicitly stated in a written service agreement with the relevant OpCo.

Past performance does not guarantee future results.

Client Responsibilities

Clients are solely responsible for:

• Accuracy of information provided
• Their own business operations and staffing
• Legal and regulatory compliance
• Handling customer, patient, or client interactions

Neither Sovereign Systemica nor any OpCo controls Client personnel, decision-making, or operations.

Privacy & Data Handling

Sovereign Systemica does not collect, store, or process Protected Health Information (PHI).

System-level oversight relies only on:

• Aggregated
• Anonymized
• Event-based or operational signals

Each OpCo maintains its own Privacy Policy governing service-specific data handling.

Term & Termination

Engagements governed by Sovereign Systemica are typically month-to-month unless otherwise agreed in writing.

Either party may terminate in accordance with the applicable service agreement.

Upon termination:

• Outstanding fees remain payable
• Active services may be paused or discontinued
• System access and reporting may be revoked

Limitation of Liability

To the maximum extent permitted by law:

• Sovereign Systemica shall not be liable for indirect, incidental, or consequential damages
• Total liability shall not exceed the fees paid to the applicable OpCo in the three (3) months preceding the claim

Sovereign Systemica is not liable for acts or omissions of Clients or third parties.

Indemnification

Client agrees to indemnify and hold harmless Sovereign Systemica and its OpCos from claims arising from:

• Client operations or representations
• Regulatory noncompliance
• Misuse of services
• Content, data, or materials supplied or approved by Client

Governing Law

These Terms are governed by the laws of the State of Wisconsin, without regard to conflict of law principles.

Any disputes shall be resolved in courts located within Wisconsin.

Modifications

Sovereign Systemica may update these Terms periodically.

The most current version will be available on this page. Continued engagement constitutes acceptance of updated terms.
